1. Who you are dealing with

Overs is made and run by 2587689 Alberta LTD., a company in Calgary, Alberta, Canada. Its address is #315, 405 64 Ave NE, Calgary, Alberta, Canada T2J 6J6. The company was founded by Abhi Chawla, who also runs the creative agency 100 Creatives. In these terms, “we” and “us” mean that company, and “you” means the person or business using Overs.

These terms are a contract between you and us. By creating an account or using Overs, you agree to them and to our Privacy Policy. If you are using Overs for a company, you are agreeing on that company’s behalf and you confirm you are allowed to.

2. The short version

• You need to be 18 or older, and you use Overs for your work or your business.
• You bring your own OpenRouter key. The AI models bill you directly, at their price. We add nothing on top.
• Overs itself is free for one brand and a monthly photo limit. Pro and Team are monthly plans you can cancel any time.
• You must have the rights to what you upload. You own what you make, as far as the law allows.
• AI-made pictures can be wrong. Check them before you publish them.
• We run Overs with care, but we cannot promise it will never break, and our liability is limited.

3. Your account

You sign up with an email address and a password. You must be at least 18 years old. Overs is a tool for work, not a consumer service, and by signing up you confirm you are using it for your business, your job, or your clients.

Keep your password to yourself and pick one nobody can guess. Everything done from your account counts as done by you, so tell us at once at abhi@paperkites.co if you think someone else has got into it. One account is for one person. If you work with others, invite them to your workspace instead of sharing a sign-in.

A workspace is the shared space that holds brands, campaigns and pictures. The person who creates it is its owner. The owner can invite people, remove people, change the plan and delete the workspace. People you invite can see and change everything in that workspace, so only invite people you trust with it.

4. Your API key and the AI models

Overs does not sell AI. It makes your pictures by sending requests from your browser to OpenRouter with your own key, and OpenRouter passes them to the model you chose. Your agreement with OpenRouter and with each model’s maker covers those requests, and they charge you directly. We never see the charge and never add to it.

Before a run starts, Overs shows an estimated cost, and as pictures are made it shows the real cost. Estimates can be off, because model prices change and a run can retry a picture. You are responsible for what your key spends. You can set a spending ceiling in Overs and another one at OpenRouter, and we suggest you do both.

We are not responsible for the models: what they produce, how long they take, when they are down, or when they are withdrawn or renamed. When a model disappears, Overs tries to pick the nearest one that still exists, and tells you which one it used.

5. Plans, prices and payment

Overs has three plans. Free includes one brand and 40 kept photos a month. Pro costs $29 a month and includes 3 brands with no photo limit. Team costs $99 a month and includes 10 brands and 5 seats. On Pro or Team you can add extra brands for $10 a month each. The pricing page has the full comparison, and it is the same numbers as here.

How billing works

• Prices are in US dollars. Tax may be added where the law requires it, based on the billing address you give.
• Paid plans are billed monthly in advance through Stripe, and renew each month until you cancel.
• You can cancel any time from your account page. Your plan stays active until the end of the month you already paid for, then the workspace goes back to Free. Nothing is deleted when a plan ends.
• We do not give refunds for part of a month, unless the law where you live says we must.
• If a payment fails, you keep your plan for 7 days while Stripe retries. If it still fails, the workspace goes back to Free until it is paid.
• If we change a price, we will email you at least 30 days before it applies to you. If you do not agree, cancel before then and you will not be charged the new price.

The Free plan and its limits can change. If a change would take away something you already have, we will tell you by email first.

6. What you may upload and make

You are responsible for everything you upload and everything you make with Overs. You must own it or have permission for it. That includes product photos, brand documents, mood board images, and any picture of a real person, including their face.

You may not use Overs to

• Make pictures of a real person without their permission, or pictures meant to make people think a real person said or did something they did not.
• Make anything sexual involving a child, or anything that sexualises a real person without their consent.
• Copy another brand’s logo, packaging, trademark or protected design, or pass your work off as theirs.
• Make ads that break the law where they will run, including health claims you cannot back up.
• Break into, overload, scrape, or copy Overs, or use it to build a service that competes with it.
• Get around plan limits, share one account between several people, or resell access.

The AI models have their own rules too, and a request that breaks them will be refused by the model. If an account is used to break these rules, we can pause it or close it. Where we can, we will tell you first and give you a chance to fix it.

7. Who owns what

What you upload stays yours. The pictures, plans, prompts and brand notes Overs makes for you belong to you too, as between you and us, as far as the law allows. We make no claim on them.

You give us permission to store your uploads and your results, show them to you and to the people in your workspace, send them to the AI models you chose, and copy them between servers to keep them safe. That is all we use them for. We will not put your work on our website or in our marketing without asking you first.

Overs itself, its design, its code and its name belong to us. You may not copy them.

Pictures on our own website are examples made by 100 Creatives, the founder’s agency, as spec concepts. They were not commissioned by, and are not connected to, the brands whose products appear in them.

8. About AI-made pictures

Overs plans and writes with AI, and the final pictures are made by AI models. That means a few things you should know before you publish anything.

• Pictures can contain mistakes: wrong text, extra fingers, a label that is not quite yours. Overs checks what it can, but you are the last check.
• Two people can get similar pictures from similar prompts. We cannot promise your picture is unique.
• In some countries, pictures made by AI cannot be copyrighted, or only parts of them can. What the law gives you is what you get.
• Brand research reads public web pages and public social media posts. It can be out of date or wrong.

9. What we promise, and what we do not

We run Overs with care and we try to keep it up all the time. But we provide it as it is, and we cannot promise it will be free of faults, always available, or right for your particular needs. We can change how Overs works, add things, or remove things. If we remove something that matters, we will tell you by email first.

If we ever shut Overs down, we will give you at least 30 days’ notice by email and time to download your work.

10. If something goes wrong

To the extent the law allows, we are not responsible for indirect losses, such as lost profit, lost business, lost data you did not back up, or money spent with OpenRouter or a model maker. Our total responsibility to you for anything connected to Overs is limited to the amount you paid us in the 12 months before the problem, or US$100 if you paid nothing.

Some places do not allow these limits, and where that is the case they apply only as far as the law lets them.

11. If you cause a claim

If someone brings a claim against us because of what you uploaded, what you made, or how you used Overs, and it is your fault, you agree to cover our costs, including reasonable legal fees.

12. Ending things

You can delete your account at any time from your account page. It is deleted straight away, along with any workspace only you belong to, and the Privacy Policy says what happens to backups. Download anything you want to keep first.

We can close an account that breaks these terms, or that has been used to harm Overs or other people. Unless the harm is serious, we will email you first. If we close your account for breaking the terms, any money already paid is not refunded.

Sections 7 to 11 and 14 keep applying after an account is closed.

13. Changes to these terms

We may change these terms. If a change matters to you, we will email the address on your account at least 30 days before it takes effect. Using Overs after that date means you accept the change. If you do not, delete your account before then. The date at the top of this page says when it last changed.

14. Law and disputes

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. Any dispute goes to the courts in Calgary, Alberta, and you agree to that. If a part of these terms turns out not to be enforceable, the rest still applies.
